Overview
We're looking for seasoned Private Equity & Investment Funds Attorneys to bring their contract expertise to a unique project: training next-generation AI systems. In this remote contract role, you'll analyze and annotate a wide range of transactional documents — from MSAs to SPAs and LPAs — helping AI models better understand complex legal language. Your deep domain knowledge matters more than any AI experience.
What You'll Do6
- 1Review and annotate diverse transactional agreements such as master service agreements, stock purchase agreements, limited partnership agreements, side letters, and non-disclosure agreements, ensuring accuracy and practical legal insight.
- 2Provide structured feedback on credit agreements, banking documents, SaaS/cloud service contracts, leases, employment agreements, and IP/technology licenses to enrich AI training datasets.
- 3Apply your expertise in investment funds, private equity, M&A, and corporate/commercial law to evaluate contract negotiation nuances and drafting practices.
- 4Draft sample clauses and identify key risk areas in legal contracts, contributing to robust training materials for AI learning frameworks.
- 5Stay current on sector-specific trends in data privacy, cybersecurity, and technology transactions, offering contextual guidance to improve AI system accuracy.
- 6Collaborate with other legal professionals to benchmark agreement standards and highlight best practices for learning content.
Requirements6
- 1JD from an accredited law school (strongly preferred); exceptional candidates with an LLM and equivalent experience may be considered.
- 28+ years of legal practice focused on private equity, investment funds, M&A, or asset management, with significant responsibility for complex agreements.
- 3Proven expertise with transactional documents including MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
- 4Strong command of contract-heavy work in the investment funds, banking & finance, technology/SaaS, and data privacy sectors.
- 5Exceptional written and verbal communication skills, with a track record of clear, precise legal drafting and analysis.
- 6Ability to synthesize complex legal concepts for varied audiences and maintain meticulous attention to detail in all deliverables.
