- 4Provide structured, high-quality written feedback to support AI systems used by transaction professionals.
- 5Evaluate issue severity within realistic M&A transaction contexts and apply practical judgment to related contracts like commercial leases as needed.
Requirements7
- 15+ years drafting, negotiating, or performing diligence on commercial contracts in law firms or in-house teams.
- 2Extensive experience reviewing contracts in virtual data rooms during live M&A transactions.
- 3Strong familiarity with risk-bearing provisions including change-of-control, assignment, and termination mechanics.
- 4Experience conducting or managing diligence at a major firm or managed review setting.
- 5Excellent written and verbal communication with the ability to explain complex legal risk precisely.
- 6Juris Doctor and active bar membership (or equivalent in your jurisdiction).
- 7Exposure to SaaS/technology agreements and contract analytics tools is a plus.
