What You'll Do6

  • 1Examine intricate commercial contracts and real-world M&A diligence scenarios to guide the creation of AI-assisted legal tools.
  • 2Identify and annotate key contractual provisions such as change-of-control, assignment, termination, exclusivity, MFN, indemnification, and renewal terms.
  • 3Distinguish material contract risks from standard boilerplate and provide clear written rationales for each finding.
  • 4Deliver high-quality, structured written feedback to refine AI systems used by transaction and deal professionals.
  • 5Assess the severity of identified issues in the context of realistic M&A transactions.
  • 6Apply practical legal judgment to commercial lease agreements and other relevant contract types as needed.

Requirements6

  • 1At least 5+ years of experience drafting, negotiating, or reviewing commercial contracts in a law firm or in-house setting.
  • 2Proven history of reviewing contracts in virtual data rooms during live M&A transactions (this is essential).
  • 3Deep familiarity with deal-risk provisions like change-of-control, assignment, and termination mechanics.
  • 4A JD and active bar membership (or equivalent legal qualification in your jurisdiction).
  • 5Strong written and verbal communication skills, with the ability to explain complex legal risks clearly and precisely.
  • 6Exposure to SaaS/technology agreements and contract analytics tools is preferred but not required.
