What You'll Do7

• Review and redline commercial agreements such as MSAs, NDAs, and DPAs using established playbooks and policies.
• Analyze contract drafts to spot key issues and determine company positions and acceptable fallback outcomes.
• Write clear, reasoned explanations for each redline or revision you make.
• Apply your knowledge of contract drafting, negotiation, and technology transactions to actual legal documents.
• Work with the project team to keep standards and interpretations consistent throughout the engagement.
• Maintain high accuracy and quality in legal writing and contract review.
• Operate independently in a remote, deadline-driven project setting.

Requirements6

• Juris Doctor (JD) from an accredited law school and active bar admission in a U.S. jurisdiction.
• At least 4 years of transactional experience at a law firm or as in-house counsel, focused on contract drafting, review, and negotiation.
• Strong familiarity with commonly negotiated commercial provisions like limitation of liability, indemnification, confidentiality, and data protection.
• Ability to synthesize complex legal concepts and deliver clear, actionable written analyses.
• Sound judgment and high accuracy in contract review and interpretation.
• Adaptability and drive to contribute to a high-impact, innovative legal project in a confidential setting.

Preferred Qualifications1

• Expertise in technology transactions is a strong plus.
