What You'll Do7

• Review and redline commercial agreements such as MSAs, NDAs, and DPAs using established playbooks and policies.
• Analyze drafts to spot key issues and decide which company positions and fallback outcomes apply.
• Write clear, reasoned explanations for each redline or revision you make.
• Apply advanced contract drafting, negotiation, and technology transactions knowledge to real legal documents.
• Work with the project team to keep standards and interpretations consistent across the engagement.
• Maintain close attention to detail and uphold high standards of legal writing and contract review quality.
• Operate independently in a remote, deadline-driven project setting.

Requirements7

• Juris Doctor (JD) from an accredited law school and active bar admission in a U.S. jurisdiction.
• At least 4 years of transactional practice at a law firm or as in-house counsel, focused on contract drafting, review, and negotiation.
• Deep familiarity with commonly negotiated commercial provisions like limitation of liability, indemnification, confidentiality, and data protection.
• Proven ability to synthesize complex legal concepts and deliver clear, actionable written analyses.
• Demonstrated sound judgment and high accuracy in contract review and interpretation.
• Expertise in technology transactions is a strong plus.
• Adaptability and drive to contribute to a high-impact, innovative legal project in a confidential setting.

Who Should Apply

Attorneys with a JD, active U.S. bar admission, and at least 4 years of transactional practice. You should be comfortable redlining MSAs, NDAs, and DPAs and explaining your edits in writing. Technology transactions experience is a plus.
