What You'll Do6

• Build realistic transactional scenarios that trace a deal from term sheet to closing, matching the way a practicing deal lawyer runs one.
• Draft reference answers that explain the legal reasoning behind each drafting and diligence decision, covering topics such as reps and warranties and indemnification structure.
• Review and grade model responses on purchase agreements, diligence summaries, disclosure schedules and board governance questions.
• Identify analysis that reads well but carries risk a client would feel, the kind of gap a practitioner spots and a generalist misses.
• Turn deal judgment into written reasoning clear enough for a non-lawyer to follow and learn from.
• Keep scenarios and grading standards consistent with how corporate and M&A work actually gets done at a firm or in house.

Requirements8

• JD with active bar admission in a US jurisdiction.
• Two or more years of corporate or M&A practice, whether at a firm or in house.
• Direct experience with deal work: purchase agreements, due diligence, board matters or comparable transactional tasks.
• Strong written English, particularly the ability to lay out legal reasoning in a form others can follow.
• Availability for a minimum of 10 hours per week as an independent contractor.
• AmLaw firm or sophisticated boutique deal experience preferred.
• Depth in private equity, venture or public company transactions preferred.
• In house or board advisory background preferred.

Who Should Apply

Deal lawyers who have owned real workstreams, from drafting and diligence through closing mechanics, and who can explain why a provision reads the way it does rather than just recognize the form. Preferred backgrounds include AmLaw firms, boutique practices, private equity and venture work, and in house or board advisory roles.
