Overview
Micro1 seeks a corporate paralegal who merges hands-on transaction execution with a real interest in AI and legal ops. The role anchors in venture financings, corporate governance, and equity administration, and also involves designing automated workflows for a remote, Slack-heavy environment. You'll own document preparation, data room maintenance, and closing logistics while building self-service tools that cut repetitive legal work. This is a full-time remote position with optional San Francisco office time.
What You'll Do8
- 1Support venture financings and secondary transactions by drafting documents and coordinating with outside counsel on board and stockholder approvals.
- 2Drive transaction execution end-to-end: signatures, checklists, document circulation, closing sets, and post-closing follow-ups.
- 3Maintain the master data room and keep corporate records accurate, organized, and up to date.
- 4Handle corporate governance duties: state filings, annual reports, minute books, organizational documents, and subsidiary records.
- 5Administer cap tables, equity plans, and grants including exercises, transfers, cancellations, and reconciliation.
- 6Draft routine corporate and legal documents independently, escalating when needed.
- 7Build AI-enabled legal intake and triage workflows tailored for an asynchronous, Slack-first communication style.
- 8Create self-service templates, playbooks, and automation for recurring legal tasks like NDAs and approval requests.

- 1Substantial experience supporting venture capital financings, M&A, or similar corporate transactions with deep knowledge of closing processes.
- 2Proven background in corporate governance, entity management, state filings, cap tables, and equity administration.
- 3Exceptional organization and attention to detail, with the ability to manage matters independently from start to finish.
- 4Strong drafting, proofreading, project management, and communication skills.
- 5Genuine interest in AI, legal technology, workflow design, and automation.
- 6Strong judgment to recognize issues needing escalation or outside counsel.
- 7Comfort working autonomously in an asynchronous remote environment.
