What You'll Do8
- 1Support venture financings and secondary transactions by drafting documents, coordinating with outside counsel, and guiding approvals.
- 2Own the end-to-end transaction process from signatures to closing, including checklists and post-closing matters.
- 3Maintain the master data room and keep corporate records accurate, organized, and current across entities.
- 4Oversee corporate governance and entity administration, including state filings, annual reports, minute books, and subsidiary documentation.
- 5Manage cap tables, equity plans, and equity grants, covering grants, exercises, transfers, and reconciliations.
- 6Draft and manage routine corporate and legal documents independently, escalating to outside counsel when needed.
- 7Design AI-driven intake and triage workflows for an asynchronous Slack-based environment, and build self-service tools and templates for recurring processes.
- 8Identify repetitive legal tasks and implement systems to speed up, standardize, and scale the legal function.

- 1Extensive experience supporting venture financings, M&A, or similar corporate transactions with solid knowledge of documents, approvals, and closing steps.
- 2Proven expertise in corporate governance, entity management, state filings, cap tables, and equity administration.
- 3Outstanding organization and attention to detail with the ability to drive matters from start to finish independently.
- 4Strong drafting, proofreading, project management, and communication skills.
- 5Genuine interest in AI, legal tech, workflow design, and automation; good judgment for escalation and when to involve outside counsel.
- 6Willingness to work hands-on across legal and operational duties and operate autonomously in a fast, highly asynchronous setting.
