What You'll Do9
- 1Assist with venture financings, secondary transactions, and board or stockholder approvals, including drafting documents and coordinating with outside counsel.
- 2Manage transaction execution from signature collection and checklists through closing sets and post-closing matters.
- 3Keep the company's master data room and corporate records accurate, organized, and up to date.
- 4Handle corporate governance and entity administration, such as state filings, annual reports, minute books, organizational documents, and subsidiary records.
- 5Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliation.
- 6Draft and manage routine corporate and legal documents, using judgment to decide when to escalate or involve outside counsel.
- 7Design AI-enabled legal intake and triage workflows for a highly asynchronous, Slack-driven environment.
- 8Create self-service tools, templates, playbooks, and automation for recurring legal processes like NDAs, approvals, and signature requests.
- 9Identify repetitive legal tasks and develop systems that make the legal function faster, more accurate, and more scalable.

- 1Significant experience supporting venture capital financings, M&A, or similar corporate transactions, with strong knowledge of transaction documents, approvals, and closing processes.
- 2Strong background in corporate governance, entity management, state filings, cap tables, and equity administration.
- 3Exceptional organization and attention to detail, with the ability to independently drive matters from start to finish.
- 4Strong drafting, proofreading, project management, and communication skills.
- 5Genuine interest in AI, legal technology, workflow design, and automation.
- 6Strong judgment and the ability to identify issues that require escalation or outside counsel.
