
Corporate Counsel for Venture Financing and Governance
Overview
A full-time corporate counsel role focused on venture financings, governance, and equity administration. You’ll own the end-to-end transactional process from drafting through closing and filings, while also shaping AI-enabled workflows to cut manual work. The position supports venture activity and high-growth programs, with remote flexibility and an option to work from the SF office. Expect to manage master data rooms, cap tables, and recurring legal processes with precision and autonomy. What You'll Do9
- 1Support venture financings and secondary transactions by drafting documents and coordinating with outside counsel.
- 2Lead the full transaction lifecycle from signatures and checklists to closing sets and post‑closing matters.
- 3Maintain the company's master data room and keep corporate records accurate and current.
- 4Oversee governance and entity administration including state filings, annual reports, minute books, and subsidiary records.
- 5Manage cap tables and equity plans, including grants, exercises, transfers, and reconciliations.
- 6Draft and manage routine corporate and legal documents while deciding when to escalate to outside counsel.
- 7Design AI-driven legal intake and triage workflows suitable for Slack‑driven workflows.
- 8Create self‑service tools, templates, playbooks, and automations for NDAs, approvals, and signatures.
- 9Identify repetitive tasks and implement systems to speed up the legal function and improve accuracy.
Requirements4
- 1Significant experience supporting venture financings, M&A, or similar corporate transactions with strong knowledge of documents, approvals, and closing processes.
- 2Strong governance experience including entity management, state filings, cap tables, and equity administration.
- 3Exceptional organizational skills and attention to detail with the ability to drive matters end-to-end.
- 4Solid drafting, proofreading, project management, and communication capabilities.
